Terms and Conditions

Version 2026-10-23Last updated: 23 October 202621,097 words

These Terms and Conditions govern access to and use of every website, application, product, tool, service and digital property operated by BizSensei Digital, including the showcase website, the online store, the agency services website, the blog, the BizSensei OMS restaurant software ecosystem and the Qiaomed healthcare software ecosystem. By visiting a property, creating an account, placing an order, accepting a proposal, ticking an acceptance control, downloading a file, installing a product or continuing to use any service, you agree to be bound by these Terms and Conditions, the Privacy Policy, the Refund Policy, the Shipping and Delivery Policy, the Cookie Policy where applicable, and any product specific or checkout specific terms presented at the point of purchase or registration. If you do not agree, you must stop using the relevant property and must not place an order or create an account.

Version 2026-10-23. Last updated: 23 October 2026. BizSensei Digital is a location independent business with no fixed physical address published for general correspondence. Contact is by email at info@bizsensei.co.in and by telephone at +91 93726 65745. These Terms and Conditions are published in English, and the English version controls in the event of any conflict with a translation, summary, marketing description or oral explanation. Product pages, proposals and checkout summaries describe what is being supplied; these Terms and Conditions describe the legal basis on which it is supplied. Where a signed written proposal or agreement exists for agency or consulting work, the order of precedence clause in the Closing Provisions explains how the documents fit together.

These Terms and Conditions are divided into parts so that you can find the rules that matter to the property you are using without losing sight of the general rules that apply everywhere. Part A contains the general rules for all BizSensei Digital properties. Parts B to G contain additional and property specific rules for each major part of the ecosystem. The Closing Provisions contain notices, amendment, severability, waiver, assignment, language and contact rules that apply across the whole ecosystem. A clause in a property specific part supplements the general clauses; it does not replace them unless the clause expressly says so. Headings are for convenience only and do not affect interpretation. References to a person include a sole proprietor, partnership, company, trust and any other lawful form of business organisation where the context permits.

Part A: General Terms for All Properties

Applies to: All BizSensei Digital properties

1.1 Definitions and interpretation

In these Terms and Conditions, the following words and expressions have the meanings set out in this clause, unless the context clearly requires a different meaning. The definitions apply across all parts of this document, including schedules and annexures, and singular words include the plural and the other way around where the sense requires it.

References to a document include the version of that document in force at the time of the relevant acceptance, order or use, as recorded in the consent and order records described in this document. The word including is illustrative and does not limit the generality of the words that come before it. A reference to writing includes email and messages recorded through a property, except where a clause requires a signed written agreement.

1.2 Who may use the properties

You may use the properties and enter into contracts under these Terms and Conditions only if you are at least eighteen years of age, you are legally capable of entering into a binding contract under Indian law, and you are not barred from receiving the relevant product or service under any applicable law. If you act for a business, partnership, company or other organisation, you confirm that you have full authority to bind that organisation, that the organisation exists and is lawfully entitled to trade, and that you will provide accurate registration, tax and contact details when asked. BizSensei Digital may ask for reasonable proof of authority or identity, and may refuse, suspend or close an account where that proof is not provided or appears unreliable.

Certain properties and features are intended only for business customers, registered restaurants, registered medical practitioners, licensed pharmacies or invited participants. Access to those features does not create any professional, employment, partnership, agency or franchise relationship between you and BizSensei Digital. Parents and guardians remain responsible for any use by a minor, and BizSensei Digital does not knowingly contract with minors for paid products or services. If you become aware that a minor has created an account or placed an order without proper authority, you should contact us promptly so that the record can be reviewed.

1.3 Electronic acceptance and consent records

Acceptance of these Terms and Conditions may be recorded electronically, including through a tick box, an I agree control, a click through flow at registration or checkout, a signed electronic proposal, or continued use after clear notice of updated terms where the law permits that form of acceptance. The parties agree that electronic records and electronic acceptance are valid and enforceable under Section 10A of the Information Technology Act, 2000, and that a printed or saved copy of the acceptance record may be relied on in the same way as a paper record, subject to applicable law.

The BizSensei ecosystem uses a structured consent system. Before personal information is collected through key forms, registration flows and checkout flows, the user is presented with an agreement control that opens the applicable legal documents, requires individual acknowledgement of each document where the flow so provides, and keeps the continue or submit control disabled until the required acknowledgements are complete. The system records the context of the acceptance, the identifier supplied in the flow, the names and versions of the documents accepted, the date and time of acceptance, the internet protocol address and any forwarded address presented by the network, and the user agent string of the device used. Those records are retained as evidence of what was accepted and when, and they may be produced to a payment provider, regulator, court or consumer commission where lawfully required or where necessary to establish, exercise or defend a legal claim.

You must not interfere with the consent system, bypass an acceptance control, script an automatic acceptance for another person, or submit acceptance on behalf of another person without that person authority. Where an employee, consultant or agent accepts terms on behalf of a business, the business is responsible for ensuring that the individual had authority and that all relevant staff are made aware of the obligations that follow. If you believe an acceptance record is wrong, you should write to us with the order reference, account email and date involved so that the underlying log can be checked.

1.4 Accounts, registration and credential duties

Some features require an account. When you register, you must provide information that is accurate, complete and current, and you must keep it updated. One account per business is the default rule for commerce, licensing and hosted software accounts, unless a product expressly permits multiple accounts, multiple locations, multiple branches or multiple staff seats. You must not create accounts in the name of another person or business, share a single user account among unrelated businesses, or use an account to conceal the true identity of the operator of a listing, store, restaurant or practice.

You are responsible for keeping your password, licence keys, one time codes, application programming interface keys, recovery links and devices secure. You must use a password that is not reused from an unrelated breached service, enable any additional verification that the property offers for sensitive roles, log out on shared devices, and notify us without undue delay if you suspect unauthorised access. All activity carried out through your account using correct credentials is treated as your activity until you notify us of a compromise and we have had a reasonable opportunity to act, except where applicable consumer law provides a different result for a proven unauthorised transaction.

BizSensei Digital may verify an email address or telephone number, require re authentication for high risk changes such as a change of payout details, administrator email or licence transfer, and may temporarily restrict sensitive actions while verification is pending. You must not sell, rent or transfer your account or licence key except where a written transfer process is provided and completed. A business sale, merger or change of control does not by itself transfer hosted data or licence rights to a new legal entity without our written confirmation, which will not be unreasonably withheld for a genuine successor that accepts these terms and settles any outstanding amounts.

1.5 General acceptable use

You agree to use every property lawfully, honestly and in a way that does not harm BizSensei Digital, other users, end customers or the technical operation of the ecosystem. Without limiting that general duty, you must not do any of the following in connection with a property, product or service.

  • Use a property for any unlawful purpose, or to publish, transmit or store content that is unlawful, defamatory, obscene, harassing, discriminatory, deceptive or in breach of a court order or regulatory direction.
  • Infringe the intellectual property, privacy, confidentiality or other rights of any person, or upload material that you do not have the right to use and distribute.
  • Send unsolicited bulk messages, spam, chain messages or deceptive marketing communications through forms, comments, reviews, messaging tools or email features provided by a property.
  • Probe, scan, test or attempt to bypass security measures, authentication, rate limits, licence checks or access controls, except under a written authorisation from BizSensei Digital or a clear legal right that cannot be excluded.
  • Scrape, crawl, harvest or systematically extract data, listings, prices, contact details or content in a way that imposes an unreasonable load, evades technical controls or competes unfairly with the property, other than through a documented interface used within its published limits.
  • Reverse engineer, decompile or attempt to derive source code from a product except to the limited extent that applicable law expressly permits that act for interoperability and the information is not otherwise available.
  • Impersonate BizSensei Digital, another business, a restaurant, a medical practitioner, a support agent or any other person, or misrepresent your affiliation, qualifications, licences or authority.
  • Upload or distribute malware, ransomware, spyware, corrupted files or code designed to interrupt, damage or gain unauthorised access to a system or data set.
  • Circumvent, remove, alter or obscure a licence key requirement, usage counter, expiry control, domain restriction or payment control in any product.
  • Use a property to facilitate wrongdoing by another person, including the sale of prohibited goods, unlicensed professional services, or the evasion of tax, food safety, healthcare or advertising rules that apply to your own business.

BizSensei Digital may investigate a suspected breach, preserve relevant logs, remove or restrict content, suspend features, and cooperate with lawful requests from authorities. A decision to moderate, restrict or suspend is an operational and legal risk decision; it is not a finding that a court would necessarily reach, and it does not waive any other right or remedy. Where the breach is capable of remedy and does not create an immediate risk, we will ordinarily give notice and a reasonable chance to cure before terminating a paid account, but no such notice is promised for fraud, security incidents, unlawful content or repeated abuse.

1.6 Orders, payment and taxes in general

The specific payment rules for the store are in Part C, for agency work in Part D and for OMS billing in Part F. The general rules in this clause apply across the ecosystem. Payment is due before digital delivery or before service work begins, as applicable to the product or service in question, unless a written proposal or checkout page expressly provides a different schedule. A product page, cart or proposal is an invitation to contract; the contract is formed when BizSensei Digital confirms the order, issues the licence, activates the service or accepts the proposal in writing, whichever occurs first in the relevant flow.

All amounts are payable in Indian rupees (INR) through the payment methods offered at checkout or in the written proposal. You are responsible for ensuring that payment details are correct, that the payment instrument belongs to you or that you are authorised to use it, and that sufficient funds or credit are available. Taxes, including goods and services tax where applicable, are applied as required by Indian law and are shown in the checkout, invoice or proposal as the relevant flow provides. You must supply accurate billing and tax information, including a goods and services tax identification number where you claim business input treatment, and you accept that an invoice cannot be rewritten to a different legal entity after the tax period and reporting for that invoice have closed, except as required by law.

Chargebacks, payment reversals, issuer disputes and gateway holds are payment events; they do not by themselves rewrite the parties obligations, cancel accrued licence or service fees, or transfer ownership of deliverables. If a payment is reversed after delivery or activation, BizSensei Digital may suspend the associated licence, account or service until the position is resolved, may invoice the amount again through a lawful method, and may rely on order, consent and delivery logs in responding to the issuer or gateway. You must raise a billing concern with us first and give a reasonable opportunity to investigate before instructing a reversal for a matter that is in fact a service or refund question governed by the Refund Policy.

1.7 Intellectual property in the ecosystem

All intellectual property rights in the properties, products, software, code, designs, layouts, logos, trade marks, documentation, templates, workflows and content created by BizSensei Digital remain the property of BizSensei Digital or its licensors. Nothing in these Terms and Conditions transfers ownership of BizSensei intellectual property to you. Your use is limited to the express licence or access right granted for the product or service you have acquired, for the domain, location, account, term and scope purchased.

You retain ownership of the material that you lawfully supply, including your business name, logo, menu, catalogue, articles, patient or customer records that you manage through a hosted service, and creative assets that you own. By supplying material through a property, you grant BizSensei Digital a non exclusive, royalty free licence to host, copy, process, transmit, display and adapt that material only as needed to operate, secure, support and improve the service for you, to comply with law, and to display public listings or pages that you have chosen to publish. That licence ends for hosted operational material when the relevant data is deleted in accordance with the applicable retention and export clauses, except for copies retained in backups, legal records and published material that you have not asked to be removed where removal is technically and legally feasible.

You must not use the BizSensei name, logo or trade dress in a way that suggests endorsement, authorship of your business, or ownership of your products or services, except for the limited footer credit, powered by notice or attribution that a product itself displays or that a written agreement expressly permits. Client properties built for third parties carry only the attribution agreed for that project. Feedback, suggestions, feature requests and ideas that you send to BizSensei Digital may be used, developed and commercialised by BizSensei Digital without payment or attribution, and you confirm that you will not submit feedback that you are not entitled to share on that basis. This clause does not assign your confidential business data or your creative assets to BizSensei Digital.

1.8 Third party services, platforms and open source components

The ecosystem depends on third party services that BizSensei Digital does not own or control, including payment gateways, hosting providers, domain and security services, map and messaging providers, app distribution channels, advertising and social platforms such as Meta and Google, restaurant marketplaces, delivery services, email delivery services and open source libraries. Those services have their own terms, policies, pricing and availability. BizSensei Digital is not responsible for a third party outage, policy change, account action, ranking decision, review decision, payment hold, delivery failure or data practice that is outside its reasonable control, although we will use reasonable efforts to notify affected customers of a material disruption that we become aware of and that directly affects a hosted service we operate.

Products and hosted services may include open source or third party components that are licensed under their own licences. Those licences govern the component in question to the extent stated in the component notice, credits file or documentation. A list of major components may be provided in product documentation or on request. You must comply with any attribution or licence condition that applies to a component you redistribute as part of a permitted use. No third party is a party to your contract with BizSensei Digital, and no clause in these terms creates rights for a third party except where applicable law requires otherwise.

1.9 Availability, maintenance and service evolution

BizSensei Digital aims to keep hosted properties available and secure, but no property is promised to be uninterrupted, error free or available at every moment. Maintenance windows, security updates, hosting migrations, gateway maintenance and emergency repairs may require temporary downtime or reduced functionality. Where a planned window is expected to materially affect a hosted customer service, we will use reasonable efforts to give advance notice through the dashboard, email or a status message, stating the expected timing in Indian time where practicable. Emergency work may proceed without advance notice where delay would increase risk to data, security or other customers.

Services and software evolve. Features may be added, improved, reordered, renamed, replaced or withdrawn, provided that a material reduction in a paid hosted feature during a paid term will be notified in advance where reasonably practicable, and the customer may raise the change under the support process and, where the change defeats the main purpose of the paid plan for that customer, under the Refund Policy and applicable consumer law. Beta, preview, laboratory and early access features are supplied for evaluation, may be incomplete, may change without notice, may contain errors, and must not be relied on as the sole system for critical live operations unless BizSensei Digital expressly confirms that status in writing.

1.10 Liability, exclusions and lawful savers

Nothing in these Terms and Conditions excludes or limits liability where exclusion or limitation would be unlawful under Indian law. In particular, nothing excludes or limits liability for fraud, wilful misconduct, or negligence causing death or personal injury, and nothing limits the statutory rights of a consumer, including the right to approach a consumer commission under the Consumer Protection Act, 2019, or any other regulator or court that has jurisdiction by law. Any exclusion or cap in this document must be read subject to those savers, and if a saver applies, the exclusion or cap applies only to the fullest extent that remains lawful.

Subject to the savers in the paragraph above, BizSensei Digital will not be liable for indirect, incidental, special or consequential loss, including loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, loss of ranking, loss of traffic, loss of data that the customer was required to back up under these terms, or loss arising from a third party platform decision, in each case whether or not the loss was foreseeable, where the law permits that exclusion between the parties concerned. For business customers, that exclusion reflects the allocation of risk in a low cost, largely self service and digitally delivered ecosystem where the customer controls its own listings, content, prices, end customer promises and regulatory compliance.

Subject to the same savers, the total aggregate liability of BizSensei Digital arising from or in connection with a particular product, order or service engagement is limited to the amount actually paid by the customer to BizSensei Digital for that specific product, order or service during the relevant period, and where no amount was paid for the item in question, the liability is limited to a nominal amount that a court or commission considers just in the circumstances. Different orders do not pool together to create a single larger cap unless a signed written agreement expressly provides for pooling. This cap does not limit an obligation to refund an amount where a refund is required by law or by the Refund Policy for an undelivered product or service.

You are responsible for your own business decisions, end customer communications, listings, prices, promises, professional judgments and regulatory duties. Software, tools, articles, templates, calculators and reports supplied by BizSensei Digital are aids to your own judgment. They do not replace legal, tax, accounting, medical, food safety or other regulated professional advice for your specific facts, and you must obtain independent professional advice where your business requires it.

1.11 Indemnity for material and use supplied by you

You warrant that material you supply, publish or instruct BizSensei Digital to use is yours to use, or that you have all licences, consents and permissions needed, and that its use as instructed will not infringe the rights of any person, breach any law, or expose BizSensei Digital to a claim by reason of the content itself. You agree to indemnify and hold harmless BizSensei Digital against claims, losses, damages, penalties and reasonable costs brought by a third party to the extent that they arise from material you supplied, instructions you gave, listings or promises you published, professional services you provided to your own customers through the software, or your breach of these terms or applicable law. The indemnity does not cover a claim that arises solely from BizSensei Digital own unlawful act or from software code that BizSensei Digital supplied without your modification or instruction.

If a third party claim is made that affects a property or a hosted customer, BizSensei Digital may remove or restrict the challenged material while the claim is investigated, may require you to provide the licence or permission relied on, and may suspend the relevant feature where continued publication creates legal or safety risk. You must cooperate promptly with reasonable requests for documents and must not settle a claim in a way that imposes an obligation on BizSensei Digital without written consent. This clause survives termination for material that was published or supplied during the term.

1.12 Suspension and termination in general

BizSensei Digital may suspend or terminate access to a property, account, licence or service, in whole or in part, where you materially breach these terms, fail to pay an amount when due, use a property unlawfully, create a security or safety risk, become subject to insolvency or closure in a way that prevents performance, or where continued supply would breach law or a binding direction. Where the reason is capable of remedy, we will ordinarily identify the breach and give a reasonable cure period proportionate to the risk, except in cases of fraud, abuse, non payment after reminder, unlawful content, licence circumvention or security risk, where immediate suspension may occur.

You may close a free account at any time through the account controls or by writing to us. Paid licences, subscriptions and agency engagements end in accordance with their product, checkout or proposal terms; closing an account does not by itself create a refund right, cancel an amount already due, or delete records that must be retained for tax, accounting, consent, dispute or legal purposes. On termination, your right to use the affected product or hosted service ends, licence keys for the terminated scope may be deactivated, and the data export and retention clauses for the relevant property explain what you may retrieve and for how long.

1.13 Force majeure

Neither party is liable for a failure or delay in performance, other than a payment obligation for an amount already accrued for a delivered item, where the failure or delay is caused by an event beyond that party reasonable control, including a natural disaster, flood, fire, epidemic restriction, war, embargo, government action, widespread internet or power failure, hosting or gateway outage, labour disruption or a third party platform failure that could not reasonably be avoided. The affected party must notify the other party as soon as reasonably practicable, use reasonable efforts to mitigate the effect, and resume performance when the event ends. If a force majeure event prevents substantial performance of a paid hosted service for a prolonged continuous period, either party may terminate the affected service for the future, and prepaid amounts for the undelivered future period will be handled under the Refund Policy and applicable law.

1.14 Support in general

Support is provided by email at info@bizsensei.co.in and, where a product provides one, through an in product support form or dashboard ticket. Support covers questions about access, activation, billing records, documented features and defects in BizSensei supplied software. Support does not include work on a customer own website, server, theme conflict, third party plugin, custom code, content writing, regulatory filing or end customer dispute, unless that work is separately purchased or expressly included in the product description or proposal. Response targets, where published for a product, are targets and not guarantees, and they are measured in working days unless the product page states otherwise.

When you contact support, you should provide the account email, order reference, domain or location concerned, a clear description of the issue, the steps that reproduce it and any error message shown. You must not send passwords, full payment card details, one time codes for unrelated services, or patient or end customer personal data that is not needed to diagnose the issue. BizSensei Digital may ask you to test in a clean environment, disable a conflicting extension, update to a supported version or provide a temporary access method through a secure process; refusal to carry out reasonable diagnostic steps may limit the support that can be provided.

1.15 Privacy, data roles and security basics

The Privacy Policy explains how BizSensei Digital collects, uses, stores and shares personal data for its own purposes as a data fiduciary or controller for its websites, store, accounts and direct customer relationships. Where BizSensei Digital hosts data that a business customer uploads or generates about that customer own end customers, patients, diners or staff, the business customer is primarily responsible for the lawfulness, accuracy and notices for that data in its own business, and BizSensei Digital processes the hosted data to provide, secure and support the software. Product specific clauses in Parts F and G expand that allocation for restaurants and healthcare users.

Each party must take reasonable technical and organisational measures appropriate to the nature of the data it handles. You must keep access limited to staff who need it, remove access promptly when a staff member leaves, review administrator lists, and use the export and backup features provided. BizSensei Digital maintains backups of platform data for operational recovery; those backups are not a substitute for the business customer own exports, invoices, statutory records and archives, which the customer must keep for the periods required by the laws that govern its own trade or profession.

1.16 Governing framework for Part A

These general terms are governed by the laws of India. Subject to the express saver for consumer commissions and other forums that have jurisdiction by law, the courts of Maharashtra have jurisdiction over disputes arising from these terms, as further explained in the Closing Provisions. A reference in older harvested texts to a particular court or place must be read together with that saver. No delay, informality, course of dealing or prior marketing statement changes the allocation of responsibility in this Part unless a signed written agreement or a mandatory rule of law provides otherwise.

Part B: bizsensei.co.in Showcase Website and Free Tools

Applies to: bizsensei.co.in

2.1 Nature of the showcase website

The website at bizsensei.co.in is the public showcase for BizSensei Digital. It presents the software products, agency capabilities, portfolio examples, service descriptions and educational material that explain what BizSensei Digital builds and offers. Product pages on the showcase website are authoritative for the features, scope and intended use of the product described on that page, compared with a summary on the blog, a social post, a marketplace listing or a third party directory. If a showcase page and a checkout page differ on a commercial point that decides a purchase, the checkout page and order confirmation for that specific order govern that purchase, and you should raise any apparent conflict with us before paying.

Nothing on the showcase website is a binding offer to supply a custom service at a stated specification regardless of your facts. Agency and custom work are supplied only under a written proposal or agreement as described in Part D. Software is supplied only under the store, billing and licensing terms that govern the relevant product. Screenshots, demonstration data, sample dashboards, mock orders, sample restaurants, sample menus and illustrative reports on the showcase website are examples. They do not promise that your data, volume, device or business will look or perform identically.

2.2 Visiting the showcase website

You may browse the public pages of bizsensei.co.in for your own information and for evaluating BizSensei Digital as a supplier. You must not use automated access that degrades the website for other visitors, attempt to enumerate non public files or accounts, inject content into forms for a purpose unrelated to a genuine enquiry, or use the website contact routes to send spam, fraudulent leads or unlawful material. Availability of a page, tool or download at one time does not promise permanent availability at the same address. Links may change, demonstrations may be replaced and portfolio examples may be updated as products and client work evolve.

Portfolio and case material on the showcase website describes work for real clients and projects in general terms. A portfolio entry is evidence of the type of work undertaken; it is not a promise of the same outcome, ranking, revenue, conversion rate or timeline for your business. Logos and names of clients appear only to identify the project concerned. A client inclusion does not mean that the client endorses a current product version or recommends BizSensei Digital for every purpose, and you must not copy a client name or logo from the showcase website for your own marketing.

2.3 The free tools collection

BizSensei Digital makes a collection of free tools available through bizsensei.co.in. At the time of this version the collection is described as fifty free tools, but the number, names and composition of the tools may change as tools are added, merged, improved or retired. The tools include calculators, generators, checkers, planners, converters and similar professional aids for business, marketing, operations and planning tasks. Each tool page explains its intended input, output and limits in summary form. You are responsible for reading that explanation and for checking whether the tool fits your facts before relying on its output.

Free tools are provided as is and as available, as professional aids for a competent user to consider alongside other information. An output is an estimate, draft, calculation or starting point based on the inputs you supply and the assumptions built into the tool. It is not legal advice, tax advice, accounting advice, financial advice, medical advice, food safety advice or any other regulated professional advice, and it does not create a client relationship between you and BizSensei Digital. You must verify an output independently, apply current rates, rules and facts for your situation, and obtain qualified professional advice before filing, publishing, pricing, hiring, investing or making any decision that carries legal or financial consequence.

No guarantee is given that a free tool output will improve a ranking, increase reach, generate leads, reduce tax, save cost or produce any commercial result. Search engines, advertising platforms, marketplaces and customers behave independently, and a tool cannot control them. BizSensei Digital may correct a formula, assumption or label in a tool without prior notice where an error is found, and a corrected output for the same inputs does not create a claim in respect of an earlier output that you chose to rely on without verification. If you believe a tool contains a material error, you may report it through the contact route and we will review the report in the ordinary course.

2.4 Tool inputs, lead forms and follow up

Some tools can be used without supplying personal information. Other tools, demonstrations and downloadable resources ask for a name, email address, telephone number or business detail through a lead form so that a result, file, demonstration or follow up can be sent. By submitting a lead form, you confirm that the details are yours or that you are authorised to supply them, that they are accurate, and that BizSensei Digital may contact you about the tool, demonstration or service you asked about, in accordance with the Privacy Policy and applicable consent and telemarketing rules. A lead form submission is an enquiry; it is not an order, a proposal, a booking or a promise of a callback within a stated time unless the confirmation message expressly says so.

You must not submit another person contact details as a prank, test, bulk list or lead generation exercise. You must not use a lead form to upload unlawful, infringing or malicious material. Files or text that you enter into a tool must be material that you are entitled to process. Do not enter end customer personal data, patient data, payment card data, passwords or confidential information of a third party into a free tool unless the tool page expressly invites that category of input and explains how it is handled. Free tools are not a secure vault, a statutory record system or a substitute for your business systems.

2.5 Downloads, demonstrations and product information

Where the showcase website offers a downloadable file, checklist, template or sample, you may download and use it for your own business evaluation and internal use within the scope stated on the download page. You must not resell the file, publish it as your own product, remove ownership notices, or include it in a competing template pack or course without written permission. Templates are starting points; they must be adapted to your facts and reviewed for legal and regulatory suitability before use with customers.

Live demonstrations, sandbox accounts and trial views, where offered, contain demonstration data and limited features. You must not use a demonstration to run a real business, store real end customer data, take real payments or mislead a visitor into thinking a demonstration is a live service. BizSensei Digital may reset, restrict or withdraw a demonstration at any time. A statement that a full live demonstration is planned, in preparation or available on request does not itself create an entitlement to a demonstration account.

2.6 Accuracy, links and changes on the showcase website

BizSensei Digital takes reasonable care in preparing showcase content, but the website may contain typographical errors, outdated references, broken links or descriptions that lag behind a product update. The authoritative sources for a purchase are the checkout terms, order confirmation, product documentation and, for services, the signed proposal. External links are provided for convenience and do not imply endorsement, control or responsibility for the external destination, its content or its data practices. You should review the terms and privacy information of an external site before using it.

Showcase content may be updated, reordered or removed without notice, except that a change will not retrospectively alter the terms of an order already confirmed or a proposal already signed. If you relied on a specific showcase statement in deciding to place an order and you believe the delivered product materially differs from that statement, you should raise the matter promptly with the order reference so that the record, including the version of the page and the checkout terms, can be reviewed under the Refund Policy and consumer law where applicable.

Part C: bizsensei.store Commerce, Plugins and Billing Checkout

Applies to: bizsensei.store

3.1 Role of the store

The store at bizsensei.store is the single commerce home for BizSensei Digital. It handles the shop for downloadable products, OMS billing and checkout, customer accounts, order records, licence issuing and related payment flows. Product landing and explanatory pages may appear on bizsensei.co.in, but a purchase is made through the store or through a billing checkout operated for BizSensei Digital, and the order record is the store or billing record. You must ensure that you are on the genuine store domain before entering payment details, and you must not follow a payment link from an unverified source that claims to act for BizSensei Digital.

The store sells digital products and software related services; it does not sell physical goods as a general retailer. Where a product name, plan name or checkout label is similar across the showcase website and the store, the store checkout description for the item in your cart governs what you are buying, including whether the item is a plugin licence, an OMS plan, an add on, a renewal or a service deposit. If the cart summary is wrong, you must not complete payment in the hope that a different item will be supplied; you should stop and contact us with a description of the error.

3.2 Store accounts and checkout identity

A store account links your orders, invoices, licence keys, downloads and OMS billing records. You must register with an email address that you control, because order confirmations, licence keys, password resets, invoice copies and important service notices are sent to that address. If you buy for a business, the account should be held in a way that survives staff changes, for example by using a business controlled mailbox and by recording the account details in your own business records. BizSensei Digital is not responsible for a licence or invoice becoming inaccessible because a former employee sole mailbox was used and the business did not arrange a transfer while access was available.

At checkout you must provide the legal or trading name, billing details and contact information requested. The name on the order is the licensee or customer of record unless a permitted transfer is later completed. Guest checkout, where offered, does not remove the need for a valid email address for digital delivery. An order placed with false identity, a stolen payment instrument or another person details without authority is voidable, and the associated licence or service may be suspended while the matter is investigated.

3.3 WordPress plugins: GST Invoices and WhatsApp Connect

BizSensei Digital offers WordPress plugins through the store, including the GST Invoices plugin and the WhatsApp Connect plugin. Unless the product page and checkout for a specific plugin expressly state a different model, each plugin is sold for a one time payment as a lifetime licence for a single domain. Lifetime in this clause means the licence does not expire by the passage of time alone for the licensed version scope, while the product is maintained and while you comply with these terms. It does not promise that every future major version, new module, hosting change or third party platform change will be included without a separate offer, nor does it promise indefinite compatibility with every future WordPress, WooCommerce, gateway, messaging or hosting change. The product page states what the current offer includes, and that statement governs the purchase.

A licence key is issued after successful payment and order confirmation. Delivery of the plugin file, download access and licence key together constitute digital delivery for the purposes of the Shipping and Delivery Policy. You must keep the licence key confidential, store it in your own secure records, and disclose it only to staff or contractors who need it to install or maintain the licensed site. You must not publish the key, include it in a public repository, share it in a forum, bundle it with a theme or site copy for another person, or enter it on a domain that you do not own or lawfully operate for the licensed business.

The licence is for the number of domains purchased. A single domain licence authorises use on one production domain and, where the product documentation expressly permits it, a clearly identified staging or development copy used only to test updates for that same production site. It does not authorise use on a second business, a client site, a subdomain operated as a separate store, a multisite network beyond the stated scope, or a white label distribution. Additional domains require additional licences unless a multi domain or unlimited offer was expressly purchased and is recorded on the order. Licences may not be resold, sublicensed, rented, redistributed or transferred as a standalone asset. A transfer that is part of a genuine sale of the very business and domain licensed may be requested in writing and will be recorded only after the buyer accepts these terms and any outstanding amounts are settled.

You must not circumvent licence activation, forge a key, alter usage reporting, block a verification call in order to use the plugin beyond its scope, or use a leaked or shared key. BizSensei Digital may validate licence status, domain and version for activation, update delivery, security notices and support. If validation shows use beyond the purchased scope, we may notify the account holder, require the purchase of the correct licence, deactivate the excess activation, or suspend updates and support for the non compliant activation. Honest mistakes that are promptly corrected will be treated proportionately; deliberate redistribution may result in licence termination without a refund for the period of misuse, subject to consumer law.

3.4 Plugin installation, compatibility and updates

Plugins are supplied for installation on a WordPress environment that meets the requirements stated in the product documentation, which may include minimum WordPress, WooCommerce, PHP and database versions, required extensions and a valid licence for any underlying third party product. You are responsible for your hosting, backups, theme, other plugins, custom code and site security. A conflict caused by another plugin, a customised theme, a modified WooCommerce template, server restrictions or an outdated environment is not a defect in the BizSensei plugin itself, although support will give reasonable diagnostic guidance within the support scope.

Before installing or updating a plugin on a live store, you should take a full backup, test on staging where possible, and ensure that a person with administrator access is available to roll back if your environment behaves unexpectedly. Updates are delivered through the mechanism stated in the documentation while the licence is valid and the product is maintained. You should apply security and compatibility updates promptly. BizSensei Digital is not liable for loss arising from a known issue that was fixed in an update you chose not to apply, from a modification you made to plugin code, or from use of the plugin for a tax, messaging or compliance purpose that required professional advice on your specific facts.

The GST Invoices plugin assists with invoice generation and related store workflows as described on its product page. It does not file your returns, determine your tax liability, validate every place of supply question, or replace your accountant. You remain responsible for your tax registration, invoice series, rates, exemptions, e invoicing obligations where they apply to you, record retention and filings. The WhatsApp Connect plugin assists with messaging workflows as described on its product page. It depends on the availability and policies of the messaging platform and any gateway or number you connect. You remain responsible for consent, opt outs, message content, template approvals, number registration and compliance with platform and telemarketing rules.

3.5 OMS billing through the store

OMS plans, renewals and add ons may be purchased or renewed through billing pages and checkout flows operated as part of the store commerce system, even where the link is presented from the OMS portal or from bizsensei.co.in. Part F contains the OMS software terms. This clause contains the commerce rules for that billing. OMS is licensed per restaurant location unless the plan and checkout expressly state a multi location scope. The plan name, location count, feature limits, add ons and billing period shown at checkout and in the order confirmation define the entitlement purchased. Terms for a location, including any cap on orders, users, branches or features, are confirmed before purchase through the plan comparison, checkout summary or written quotation, and the confirmed summary is part of the contract for that billing period.

Payment for an OMS plan or add on is due before activation or renewal for the new period, unless a written invoice expressly states a due date after activation. Activation may be automatic after successful payment or may require a provisioning step; the confirmation message states which applies. If a provisioning secret, account sync secret, restaurant identifier or setup detail is required from the customer or from BizSensei administration, activation is complete when the portal account shows the plan as active, not merely when payment is captured. You should check the portal after purchase and contact support promptly if the plan does not appear, quoting the order reference, so that provisioning can be traced.

Renewal, expiry and downgrade consequences are stated in the checkout and portal notices for the plan. If a plan expires and is not renewed, the portal may restrict new orders, billing, marketplace visibility, add on features or administrative actions while preserving access to historical records and export for a limited period as described in Part F. Expiry does not delete the restaurant legal obligation to complete orders already accepted from diners, to honour its own customer commitments, or to retain its statutory records. Add ons are optional features with their own scope; buying an add on does not extend the base plan period unless the checkout expressly says so, and removing an add on does not refund the base plan.

3.6 Prices at checkout, payment processing and invoices

No price is stated in these Terms and Conditions themselves. The price for an item is the price shown in the store cart, billing checkout or written proposal for that item at the time of order, together with any tax and any clearly disclosed fee shown before payment is confirmed. You must review the item, licence scope, location count, period, add ons, tax and total before confirming. A manifest error in a displayed price that a reasonable person would recognise as an error, such as a test plan, a placeholder amount or a total that plainly does not correspond to the item description, does not create an entitlement to the item at the erroneous figure. In that event BizSensei Digital may cancel the affected order before delivery or activation, or promptly after discovery, and refund any amount paid for the cancelled item.

Payments are processed by third party payment gateways, including Razorpay where that gateway is offered at checkout. BizSensei Digital does not receive or store your full payment card number through the store checkout. Gateway terms, authentication steps, issuer decisions, holds, refunds processing times and compliance checks are controlled by the gateway and your issuer. A successful authorisation is not the same as final settlement; if a payment is later reversed, held or found unauthorised, the order and licence consequences in Part A apply. You must not use a payment method that you are not authorised to use, and you must complete any authentication, including a one time code sent by your issuer, only on the genuine gateway page.

An invoice, receipt or tax document is issued for a confirmed order as required by law and is available through the account, email or support on request. You are responsible for checking the invoice details promptly and notifying us of an error in a name, address or tax identifier while correction is still legally and practically possible. A correction that would change the customer of record after delivery is a transfer question, not a mere spelling correction, and will be handled under the transfer rules for the product concerned.

3.7 Digital delivery through the store

Digital delivery is governed by the Shipping and Delivery Policy and summarised here for convenience. Plugin files are delivered by download access, email link or account library after payment confirmation. Licence keys are delivered to the account email and shown in the account where the system provides that view. OMS entitlements are delivered by activation on the portal account and location identified at checkout. Service deposits and agency related store payments, where taken through the store, are delivered by written confirmation of the engagement and by the proposal process, not by a downloadable file.

Delivery times stated in the Shipping and Delivery Policy are estimates from confirmed payment and receipt of all required setup information. A delay caused by gateway review, incorrect email, spam filtering on your mailbox, missing restaurant or domain details, or a required manual provisioning step is not a failure to deliver where BizSensei Digital acts promptly once the blocker is resolved. You should check spam and promotions folders, confirm that your mailbox can receive attachments or links, and contact support if a confirmation has not arrived within the stated window. Risk in a downloaded file passes on download; you should keep your own copy of the installer version you deploy, your licence key and your invoice.

3.8 Refunds, cancellations and licence consequences in the store

Refunds are governed by the Refund Policy. These terms do not create a separate refund promise and do not reduce a refund right that the Refund Policy or consumer law gives you. Digital products that have been downloaded, activated or used beyond the scope needed to test them may have different refund treatment from an undelivered or unactivated item, as the Refund Policy explains, because a licence key and file cannot be returned in the same way as an unopened physical item. You should read the Refund Policy before purchase, test promptly after delivery, and raise any claim within the period stated in that policy with the order reference and a clear description of the issue.

Where a refund is approved for a licensed plugin, OMS plan or add on, the licence or entitlement for the refunded scope ends when the refund is processed, activation may be removed, updates and support for that scope end, and you must stop using the refunded product and delete copies that were supplied under that licence, except for records you must retain by law. A partial refund for one add on or one location does not terminate unrelated items on the same account. A refund to the original payment method is the default route; BizSensei Digital is not required to pay a refund to a different person, account or instrument except where the gateway or law requires it.

3.9 Store reviews, questions and user submissions

Where the store permits product questions, reviews or testimonials, you must submit only honest material based on your own genuine experience, disclose any incentive or relationship that could affect the review, and avoid personal data about another person, abusive language and unlawful content. BizSensei Digital may moderate, decline or remove a submission that breaches these rules, that appears fake or incentivised without disclosure, or that relates to a different product. Publication of a review does not mean BizSensei Digital adopts every statement in it. Support questions that contain order or licence details should be sent through support rather than a public review.

3.10 Store security and fraud prevention

BizSensei Digital and its payment partners may carry out fraud, sanctions, velocity and account checks, may require additional verification for a high value or unusual order, and may cancel an order that appears unauthorised or that cannot be verified. Those checks are protective measures and are not an accusation of wrongdoing against a genuine customer whose payment pattern triggers a gateway rule. If your order is held for verification, you should respond through the official support email with the order reference and the verification asked for, and you must not send full card details or banking passwords by email.

Store item typeDelivery methodCore licence or entitlement rule
WordPress pluginDownload access plus licence key after paymentOne time lifetime licence for a single domain unless the checkout states otherwise

OMS add onFeature activation on the identified account or locationOptional scope that runs with the base plan unless the checkout states a separate period

The table above is a summary to help you navigate the store. It does not replace the product page, checkout summary, order confirmation or the detailed clauses in this Part, and if there is a conflict the detailed record for your specific order governs that order.

Part D: bizsensei.agency Agency Services

Applies to: bizsensei.agency

4.1 Nature of the agency website and services

The website at bizsensei.agency presents the agency services of BizSensei Digital, including performance marketing, web development, search engine optimisation, retention work, content and creative support, user generated content and influencer coordination, consulting and related growth services. The agency website describes capabilities, disciplines, process and portfolio examples. It does not publish prices for agency services, and no figure, package name, result example or conversation on the agency website creates a price or a promise of supply until a written proposal or agreement has been issued for your specific scope and accepted in accordance with this Part.

Agency services are professional services tailored to a client brief, market, budget, assets and constraints. Two clients buying a service with the same discipline name may receive different work, deliverables, timelines and fees because their scopes differ. A service page is a description of a discipline, not a fixed catalogue item. The proposal is the document that fixes the scope for an engagement, and you must read it carefully before acceptance, including its inclusions, exclusions, assumptions, client responsibilities, revision limits and payment schedule.

4.2 Enquiries, discovery and proposals

An enquiry through the agency website, email, telephone or a meeting is the start of a discussion, not a contract. BizSensei Digital may hold a discovery conversation, review your website, accounts, market and materials, and ask for information needed to assess fit and prepare a proposal. Information you provide for discovery must be accurate and yours to share. You must not share another person credentials, confidential information that you are not entitled to disclose, or access to an advertising, analytics or customer account that you do not control.

A written proposal or agreement for marketing, development or consulting work will ordinarily state the objectives as understood, the deliverables, the platforms or properties in scope, the timeline estimate, the fees and payment schedule, the revision and approval process, the client supplied materials and accesses required, third party costs that are payable by the client, and any assumptions or exclusions. The proposal may be accepted by signature, electronic acceptance, written email confirmation or payment of the first amount where the proposal states that payment constitutes acceptance. Work begins only after acceptance and after any advance payment and starting materials required by the proposal have been received, unless the proposal expressly allows an earlier start.

If you ask for work to begin urgently before a full proposal is signed, BizSensei Digital may decline, or may agree a short written scope confirmation by email covering the urgent task, fee basis and limit of work. Urgency does not remove the need for a written record. Oral promises, chat messages and meeting recollections do not vary a proposal unless they are later recorded in a written change note accepted by both parties.

4.3 Fees, third party costs and payment for agency work

Agency fees are as stated in the accepted proposal. No public price list applies to agency services, and you must not rely on a fee quoted for another client, an earlier period or a different scope. Payment is due before service work begins or in accordance with the instalment schedule in the proposal, as applicable. BizSensei Digital may pause work, withhold delivery of final files, or suspend campaign management where an amount is overdue, after giving notice where the circumstances reasonably allow, and may resume when payment is received. Pausing for non payment may affect campaign continuity, platform learning, deadlines and results, and BizSensei Digital is not liable for that effect where the pause follows your non payment.

Third party costs are separate from agency fees unless the proposal expressly bundles them. Advertising spend paid to Meta, Google or another platform, influencer fees, creator fees, talent, location, product, courier, stock media, premium plugins, domains, hosting, gateway fees and similar external costs are payable by the client directly or in advance through BizSensei Digital as the proposal states. You are responsible for maintaining valid payment methods on your own advertising and platform accounts. A platform price change, currency movement or creator fee change after a proposal is accepted may require a written variation if it materially affects the scope or budget.

Taxes apply as required by law and are shown in the proposal or invoice as applicable. Late payment may attract interest or a pause right only as stated in the proposal or as permitted by law; no hidden fee is created by these general terms alone. If you dispute part of an invoice, you must pay the undisputed part on time and raise the disputed part in writing with reasons promptly, so that the engagement record can be checked while the work is current.

4.4 Timelines, approvals and client responsibilities

Timelines in a proposal, plan or agency communication are good faith estimates based on the scope, accesses, approvals and materials assumed at the time they are given. They are not guarantees of a launch, ranking, approval or platform decision by a fixed date unless the proposal expressly commits to a date as a binding deadline and states the consequence of missing it. BizSensei Digital will communicate delays promptly when they become known, explain the cause in reasonable terms, and propose a revised estimate or workaround where one exists. A delay caused by late client approval, late materials, late access, a platform review, a creator delay, a payment delay or a change of brief is not a breach by BizSensei Digital, and the timeline moves by at least the period of the client or third party delay.

You must nominate a decision maker who can approve briefs, creative, copy, budgets and deliverables for your business. Approvals should be given in writing through the channel named in the proposal. If you approve a deliverable, advertisement, page, script, list or audience and later change direction, the additional work is a change of scope. Silence is not approval unless the proposal states a specific review window and consequence. You remain responsible for the factual accuracy and legal clearance of claims about your products, prices, offers, qualifications, licences and results, even where BizSensei Digital drafts the copy, because you are the business that knows the underlying facts and that will face your customers and regulators.

You must provide timely access to the websites, advertising accounts, analytics, customer relationship systems, product feeds, brand assets and personnel reasonably needed for the work, limited to the access the proposal requires. You must not provide a shared personal password where a platform offers a business access, partner access or delegated role. BizSensei Digital will use access only for the engagement, will protect credentials shared through an agreed secure method, and should have its access removed by you at the end of the engagement. Prompt removal is your responsibility to request and verify on your own accounts.

4.5 No guarantee of marketing outcomes

BizSensei Digital does not guarantee marketing outcomes, rankings, reach, traffic, leads, sales, revenue, return on advertising spend, follower growth, app installs, marketplace orders or any other commercial result. Marketing outcomes depend on your product, price, offer, market demand, competition, seasonality, website condition, fulfilment, customer service, budgets, platform algorithms, auction dynamics, policy decisions and many other factors outside the control of an agency. Past results, portfolio figures, testimonials and case examples do not predict your results. A forecast, projection, target or planning figure in a proposal or report is an estimate for planning, not a warranty.

You acknowledge that advertising and social platforms, search engines and marketplaces may reject an advertisement, restrict an account, disapprove a claim, change a format, alter an algorithm, suspend a page or change a cost structure at any time. BizSensei Digital will use reasonable professional care in preparing campaigns and in responding to a platform action that relates to its own work, but the platform decision itself is outside its control. Account ownership remains yours; a restriction that arises from your products, claims, landing pages, payment method, prior account history or business practices is your responsibility, even if it appears during an engagement.

4.6 Creative work, revisions and intellectual property for clients

Unless the proposal states otherwise, final deliverables that are expressly identified as client deliverables and that have been paid for in full may be used by the client for the business and purpose described in the proposal. Working files, source files, editable design files, code repositories, campaign structures, audiences built inside BizSensei tools, internal templates, prompts, methods and know how remain BizSensei Digital property or are included only where the proposal expressly lists them as deliverables. A client must not assume that a delivered image, video, page or report includes the underlying editable source, licensed stock, font licence or creator raw footage unless the proposal says so.

Revision rounds are as stated in the proposal. A revision is a reasonable refinement of an approved direction within the original brief; a new direction, new product, new audience, new format, additional language or work after final approval is a change of scope and may require an additional fee and timeline. You must consolidate feedback from your stakeholders into one clear set of comments per round. Conflicting instructions from multiple people in your organisation will be referred back to your nominated decision maker.

Stock media, fonts, music, influencer content, user generated content and third party assets are used subject to the licence or permission obtained for the engagement. You must respect the term, territory, channel and usage limits of those licences and must not reuse a creator or stock asset beyond its licensed scope. Where you require a buyout, extended term or additional channel, you must ask before the extended use begins so that the rights holder terms can be checked and any additional fee agreed. BizSensei Digital may display completed client work in its portfolio and credentials unless the proposal or a separate confidentiality agreement prohibits that display or the work is marked confidential before publication.

4.7 Client materials, claims and indemnity for agency work

You warrant that all materials, claims, data, lists, images, testimonials, product information and instructions you supply for agency work are accurate, lawful and yours to use. You will indemnify BizSensei Digital in accordance with Part A for claims arising from your materials, your product claims, your offers, your customer lists, your instructions to target or exclude an audience, and your sale or supply of the underlying product or service. In particular, you are responsible for ensuring that a mailing or messaging list was lawfully collected with any consent required, that a testimonial is genuine and authorised, that a before and after claim is substantiated, and that a regulated product or service is advertised only in ways your sector permits.

BizSensei Digital may decline or pause work that appears unlawful, deceptive, unsafe or in breach of a platform policy, and may ask for substantiation of a claim before publishing it. That review is a risk control, not legal advice and not a clearance that transfers responsibility to BizSensei Digital. If a regulator, platform or rights holder complains about client material or claims, you must cooperate promptly, provide the underlying records, and bear the cost of correction in your own business systems and customer communications.

4.8 Development work, testing and handover

Where agency work includes web development, landing pages, integrations or custom code, the proposal will state the browsers, devices, environments and third party services in scope, the content and data to be supplied by the client, and the testing and acceptance process. You must test and accept a deliverable within the review window stated in the proposal, reporting defects that are within scope in a single consolidated list with steps to reproduce. A defect is a failure of the deliverable to match the accepted proposal in a material respect. A new feature, a design preference change, a third party service change after acceptance, or content that you supplied incorrectly is not a defect.

Handover is complete when the deliverables listed in the proposal have been supplied, deployed to the agreed environment or transferred as stated, and paid for in full. After handover, hosting, domain renewal, security updates, backups, monitoring and further changes are your responsibility unless a maintenance or retainer proposal covers them. BizSensei Digital is not responsible for changes made by you, your other contractors or a platform after handover that break a delivered page or integration, although further help may be engaged as new work.

4.9 Confidentiality, data and subcontractors for agency work

Each party must keep confidential information received from the other party in confidence and use it only for the engagement, except for information that is public without fault, already known, independently developed or required to be disclosed by law or a regulator. Client business data, customer lists and campaign data supplied for an engagement will be handled in accordance with the Privacy Policy and the proposal. You must minimise the personal data you share, avoid sending special category or highly sensitive data unless the engagement expressly requires it and a secure method is agreed, and ensure that your own privacy notices cover the sharing you instruct.

BizSensei Digital may use employees, contractors, creators, developers, media partners and processors as subcontractors in the ordinary delivery of agency work, provided that BizSensei Digital remains responsible for the deliverables it has contracted to supply. A subcontractor who needs access to your accounts or data will be given only the access reasonably required. If your proposal requires prior approval for a particular category of subcontractor or a particular data location, that requirement must be recorded in the proposal to bind the engagement.

4.10 Suspension, termination and consequences for agency engagements

Either party may terminate an agency engagement in accordance with the notice and termination clause in the proposal. If the proposal is silent, either party may terminate a month to month retainer by giving written notice that takes effect at the end of a reasonable notice period stated in the termination notice, and a fixed project may be terminated for material breach that remains uncured after written notice and a reasonable cure period. BizSensei Digital may suspend or terminate immediately for non payment after reminder, unlawful instructions, refusal to provide legally required substantiation, abuse of staff, or a request to deceive a platform, customer or regulator.

On termination, you must pay for work performed, deliverables supplied, third party costs committed and approved media or creator amounts up to the effective termination date, in accordance with the proposal. Prepaid amounts are applied first to amounts earned and committed; any balance is handled under the proposal and the Refund Policy. Campaigns, files and accesses will be handed over or closed in an orderly way within the scope paid for. BizSensei Digital is not required to continue managing a live campaign after termination, and you must appoint a successor or pause the campaign yourself to avoid uncontrolled spend on your own advertising accounts.

Part E: blog.bizsensei.co.in Blog, Articles and Newsletter

Applies to: blog.bizsensei.co.in

5.1 Purpose and status of blog content

The blog at blog.bizsensei.co.in publishes articles, guides, explanations, opinions, product education, case notes and resources about software, marketing, restaurant operations, digital commerce and related business topics. Blog content is general information and education. It is written for a broad audience, may simplify a topic, and may not cover the exception, local rule, recent change or specific fact that decides your situation. Blog content is not legal, tax, accounting, financial, medical, food safety or other professional advice, and reading it does not create an adviser relationship with BizSensei Digital.

Product pages on bizsensei.co.in and checkout pages on bizsensei.store are authoritative over the blog for product features, scope, licensing and purchase terms. If a blog article describes a feature, workflow, integration or plan that has since changed, the current product page and documentation govern. An article publication date and any updated date shown on the article help you judge currency; you should check the date and the current product page before acting. A statement in an article about a third party platform, law, tax rate, marketplace rule or algorithm reflects the position as understood at the time of writing and may have been superseded.

5.2 Reading, sharing and reuse of blog content

You may read the blog, share a link to an article, and quote a brief excerpt with clear attribution to BizSensei Digital and a link back to the original article, for non commercial commentary, internal discussion or education. You may not copy an article, guide, image, infographic or substantial part of one for commercial use, republication, resale, course material, lead generation content or a competing website without prior written permission. Scraping the blog to build a copy, training set for resale, content farm or mirror site is prohibited. Search engine indexing by a recognised search engine operating within robots controls and reasonable crawl limits is not prohibited scraping for this clause.

Images, screenshots and diagrams on the blog belong to BizSensei Digital or are used under licence or for illustration. A screenshot of a dashboard or product does not grant a right to use the underlying design, logo or trade dress. If you believe blog content infringes your rights or contains a material factual error, you may write to us with the article address, the passage concerned and the basis of your concern. We will review genuine notices in the ordinary course and may correct, update, annotate or remove content where appropriate. A correction does not create an admission in respect of every reliance a reader may claim.

5.3 Comments and community contributions

Where comments are enabled, they are moderated. Submitting a comment does not guarantee publication. BizSensei Digital may hold, edit for length or clarity in a way that does not change the substance unfairly, decline or remove a comment at any time, and may close comments on an article without notice. Comments may be removed where they contain spam, advertising, affiliate links without disclosure, unlawful content, personal data about another person, abuse, hate, misinformation that creates safety risk, confidential information, or material that is off topic or disruptive. Repeat abuse may result in a block on further comments from the account, address or network concerned.

You are responsible for your comment. You confirm that it is your own view or that you are authorised to post it, that it does not infringe another person rights, and that you have not included another person email address, telephone number, address, order details, patient details or private correspondence. A comment is a public or semi public submission depending on the display settings of the blog; you should not post anything you need to keep confidential. By posting, you grant BizSensei Digital a non exclusive licence to display, store, moderate and, where an article is syndicated with permission, carry the comment with the article, without payment. That licence does not transfer ownership of your comment to BizSensei Digital.

Views in comments belong to the commenter, not to BizSensei Digital. A published comment is not an endorsement, verification or adoption of its facts. Readers should not rely on a comment for professional, medical, tax or safety decisions. If a comment contains a support request with private details, BizSensei Digital may remove the private details and direct the person to the support email instead. Support is not provided through blog comments as the primary channel.

5.4 Newsletter and email subscriptions

The blog and other properties may offer a newsletter or email update list. Subscription requires a valid email address and the consent recorded through the subscription flow. Newsletter content may include articles, product news, tool announcements, offers and educational material. Every newsletter email contains an unsubscribe link or a clear unsubscribe instruction, and using it will stop further newsletter mail to that address, except for transactional or legally required messages connected with an account, order or service you still hold. Unsubscribing from the newsletter does not delete a store or software account and does not stop order confirmations or security notices.

You must subscribe only with your own email address or with the clear authority of the address holder. You must not subscribe another person as a test, prank or list building exercise. BizSensei Digital may confirm a subscription by a verification email, may remove an address that repeatedly bounces, generates a spam complaint or appears to be a disposable or abusive address, and may segment or discontinue a newsletter list. Frequency statements, where given, are descriptions of the usual pattern and not a promise that an issue will be sent on a particular day or that every subscriber will receive every segment.

5.5 Guest contributions and submitted articles

A guest article, interview, quote or resource may be considered only by prior arrangement. Unsolicited submissions sent without an invitation are not promised review, publication, reply or return. Where a contribution is accepted, the contributor confirms originality or full rights, factual good faith, disclosure of commercial interests, and agreement to editing for clarity, length, house style, legal risk and search quality. BizSensei Digital may decline or remove a published contribution if a rights, accuracy or policy concern later arises. Payment, link placement and authorship credit apply only as recorded in the written arrangement for that contribution; no general promise of a backlink is made by these terms.

Contributors must not submit content generated or assembled mainly to manipulate rankings, promote an undisclosed product, place a paid link without disclosure, or reproduce another publication. If a contribution contains affiliate, sponsored or commercial material, that nature must be disclosed in the submission and will be disclosed to readers where the law or platform standards require it. BizSensei Digital may add its own headings, images, internal links and calls to action to a published article as part of ordinary blog presentation.

5.6 Blog availability, archives and corrections

Articles may be updated, consolidated, redirected or removed as topics evolve, products change or legal risk requires. An archive copy, search result snippet or third party copy may continue to show older text after the live article has changed; the live article at blog.bizsensei.co.in is the version BizSensei Digital maintains. Removing an article does not create an obligation to remove every quotation, link or copy held by a third party outside BizSensei control. Material corrections to a published article will ordinarily be made in the article itself, and a significant change to a practical instruction may be noted with an updated date where the blog format provides one.

The summary table in this clause is a reading aid. The detailed clauses in this Part govern if a summary phrase and a detailed clause appear to differ in emphasis.

Part F: BizSensei OMS Restaurant Software, Marketplace and Apps

Applies to: BizSensei OMS: oms.bizsensei.co.in, the OMS apps and the food marketplace

6.1 The OMS service and what BizSensei is and is not

BizSensei OMS is restaurant operations software. It includes, depending on the plan and add ons purchased, a hosted portal, point of sale functions, order management, table and counter workflows, QR ordering, kitchen display functions, billing support, reports, customer and marketplace features, application programming interfaces, and companion applications for restaurants, riders and customers, including the food marketplace and discovery experience sometimes described as OMS discover or the food ordering experience. The exact features, limits and add ons for your restaurant are those confirmed for your plan and location at checkout, in the portal and in the product documentation.

BizSensei Digital is the software provider only. BizSensei Digital is not a restaurant, not a food business operator, not the seller of any food or beverage listed by a restaurant, not an employer of restaurant or rider staff, not a transporter, not a delivery company and not a payment collector for the restaurant own diner sales except where a specific gateway arrangement expressly states a collection role for a defined flow. BizSensei Digital prepares no food, stores no food, sets no restaurant menu price, makes no promise about taste, portion, allergen content, preparation time or delivery time to a diner, and does not inspect a restaurant kitchen or licence as part of ordinary software supply.

6.2 OMS accounts, locations and staff roles

An OMS account is held by or for a restaurant business. OMS is licensed per restaurant location unless the plan expressly includes multiple locations or branches. A location means a distinct trading outlet with its own kitchen, counter, menu operation or address as identified in the portal. You must not use a single location licence to run two unrelated outlets, a cloud kitchen at a separate premises that is presented as the same outlet to evade licensing, or a franchisee business that has not been licensed. Additional locations, branches or brands require the correct plan scope.

The account owner must appoint administrators carefully, assign staff roles on the least access needed for the job, and remove access promptly when a staff member leaves, changes role or is suspected of misuse. Cashiers, waiters, kitchen staff, managers and riders should each use their own credentials or PIN based access as the portal and apps provide, so that an audit trail remains meaningful. Sharing an administrator login among all staff destroys accountability and is prohibited for administrator level access. The restaurant is responsible for orders, refunds, discounts, voids, price changes and cash handling carried out by its staff through the portal, point of sale and apps, including an act by a staff member who exceeded internal instructions but used access the restaurant gave them.

Portal accounts, shifts and billing require the restaurant to follow the operational rules shown in the software. Where the software states that a shift must be open before billing, that a table must be assigned, that a payment method must be recorded or that a bill request must be completed in a stated sequence, those are system rules for an orderly record and not optional suggestions. Error messages shown by the portal, including plan limit messages and validation messages, should be read and acted on. BizSensei Digital is not responsible for a lost sale or delayed bill that follows from the restaurant operating outside a stated system rule, closing a shift early, exceeding a purchased plan cap, or failing to keep a device charged and connected.

6.3 Plan limits, add ons and fair operation

Plans may include limits or caps on orders, locations, users, products, branches, storage, messages, application programming interface calls or other measurable features. A cap recorded as unlimited means no fixed numerical cap for that feature in that plan; it does not mean abusive, automated or non restaurant use is permitted. A cap recorded as zero or not included means the feature is not part of that plan. Where the software enforces a hard limit, order creation or the relevant action may be blocked when the limit is reached, with a message explaining the limit. That enforcement is the agreed plan control, not a defect. You should monitor usage in the portal, upgrade before a limit is expected to be reached during a busy period, and not rely on an exempt or offline flow to evade a cap that applies to your plan.

Add ons such as delivery features, online ordering, a rider application, messaging alerts or application programming interface access, where offered, extend the base software only within their stated scope. An add on that depends on a third party, such as a messaging provider, map provider, gateway or marketplace, also depends on that third party availability and rules. Use of an add on does not change the restaurant responsibility for its own food, prices, staff, riders, customer promises and licences. If an add on is removed, expires or is suspended for non payment, orders and records created while it was active remain part of the restaurant records subject to the export and retention clauses in this Part.

6.4 Point of sale, QR ordering and kitchen display

The point of sale functions support order taking at a counter or table, item and quantity changes, discounts within the permissions you configure, order sources including walk in, table, application, telephone and third party platforms such as Zomato and Swiggy where you record those orders, customer attachment through a customer search, kitchen order tickets, bill requests and settlement recording. Recording an order that originated on a third party platform inside OMS does not move that platform contract into OMS and does not make BizSensei Digital a party to the platform commission, diner contract or delivery arrangement for that order. It is a record in your operations system.

QR ordering allows a diner to view a menu and place or request an order through a code or link associated with your restaurant or table. You are responsible for placing the correct code at the correct table or location, keeping printed codes legible and unaltered, warning staff to verify the table and items before firing an order where your workflow requires it, and handling a diner who orders to the wrong table through your own customer service. A QR code that is photographed, copied or moved by a third party may still point to your menu; you should report misuse and use any code regeneration or table management control provided.

Kitchen display functions present orders to the kitchen in the order and status flow configured. The restaurant remains responsible for reading the display, managing preparation, communicating delays, handling items that are unavailable, and serving food safely. A display delay caused by your local network, device sleep settings, browser refresh behaviour, power failure or staff not viewing the screen is an operational matter for the restaurant. You must keep a sensible fallback process for busy periods and outages, such as a verbal or printed ticket process, so that diners are not left without a service path when technology fails at the outlet.

6.5 Restaurant duties: licences, menu, pricing and food safety

The restaurant alone is responsible for every aspect of the food business it operates. Without limiting that responsibility, the restaurant must hold and keep current its own FSSAI licence or registration as applicable to its business, trade licence, shops and establishment registration, fire and premises permissions, goods and services tax registration where required, music or other premises licences it chooses to use, and every other permission needed to cook, sell and deliver food from its premises. You must enter the correct licence details where the portal asks for them, display them where the law requires, renew them on time, and remove or correct a listing if a licence lapses. BizSensei Digital does not verify that a restaurant licence is genuine or sufficient, and portal acceptance of a typed licence number is data entry, not certification.

The restaurant alone is responsible for menu accuracy, item names, descriptions, photographs, ingredients, allergen information, vegetarian and non vegetarian classification, Jain or other preparation claims, spice or health claims, portion information, availability, pricing, taxes, charges, offers and discounts. A photograph must fairly represent the item and must be yours to use. If an item becomes unavailable, unsafe, incorrectly priced or incorrectly described, you must update or remove it promptly. A diner claim about food quality, foreign material, undercooking, allergen harm, misleading description, overcharging by the restaurant, late preparation or a missing item is a claim against the restaurant, not against the software provider. You must handle diner complaints, refunds for food issues, replacements and regulatory responses as the food business operator.

Food safety and hygiene are entirely the restaurant responsibility. That includes procurement, storage temperatures, cross contamination controls, cooking temperatures, packaging suitability, tamper evidence where you adopt it, expiry management, staff hygiene, pest control, water quality and compliance with FSSAI and local food safety directions. OMS records, temperature fields, checklists or report features, where present, are recording aids. Completing a field in software does not prove that the underlying physical act was performed correctly, and BizSensei Digital gives no food safety certification by providing a field or a report.

6.6 Marketplace and discover: roles of the parties

The OMS marketplace and discovery experience allows diners to discover restaurants, view menus and place orders with restaurants that choose to be visible there. Each restaurant on the marketplace is an independent business and the seller of its own food and beverages. The contract of sale for food is between the diner and the restaurant. BizSensei Digital provides the software that displays the listing, transmits the order, records status and supports communication. BizSensei Digital is not the seller, co seller, agent for undisclosed terms, employer, transporter or food business for a marketplace order, and a diner must look to the restaurant for food quality, safety, menu accuracy, price, preparation and the delivery promise that the restaurant has made or accepted.

Marketplace visibility is not an endorsement, ranking guarantee, hygiene rating or quality promise by BizSensei Digital. Order of appearance, search position, badges, photographs, opening and closing display, ratings and reviews depend on data supplied by restaurants and diners, operational status, location, system rules and availability. A restaurant shown as closed must not accept an order as if it were open. A restaurant shown as open must keep its hours, delivery areas, minimum order rules and availability honest. Deliberately keeping a listing open while the kitchen is closed, bait pricing, fake offers, fake reviews, or asking diners to cancel and pay outside the recorded flow to evade records are prohibited marketplace practices.

Diners using the marketplace must provide accurate contact, address and instruction details, be available to receive the order, pay through the method recorded for the order, and behave lawfully toward restaurant staff and riders. A diner must not place a fake order, use another person payment method, abuse a refund or offer mechanism, or submit a false food safety allegation. BizSensei Digital may restrict a diner account, restaurant listing or rider access where abuse, fraud or safety risk is reasonably suspected, while preserving records needed for a dispute or authority.

6.7 Delivery and riders

Delivery arrangements depend on the model the restaurant selects and the features it has purchased. A delivery may be performed by restaurant staff, by a rider engaged by the restaurant, by an independent rider using the rider application, or by a third party delivery service. Riders are independent persons or restaurant arranged persons; they are not employees, agents or subcontractors of BizSensei Digital by virtue of using the rider application, and BizSensei Digital does not set their wages, shifts, employment terms or vehicle arrangements with the restaurant. The restaurant or engaging party is responsible for verifying a rider identity, driving licence, vehicle legality, insurance and fitness to carry food, and for compliance with labour, contractor and road safety law.

The rider application supports assignment, pickup, navigation aids, status updates and drop location handling. Map displays, route suggestions and estimated times are aids based on third party map data and device location. They do not guarantee the fastest route, road legality, entry to a premises, or arrival by a stated minute. The rider must obey traffic law, ride safely, protect the food package, respect diner privacy and address data, and confirm delivery honestly through the application. Marking an order delivered when it was not, diverting food, demanding extra payment that was not part of the order, or contacting a diner for an unrelated purpose are serious breaches that may result in removal and referral to the engaging restaurant or authorities.

Delivery promises shown to a diner, including any time estimate, free delivery claim, delivery fee and radius, are the restaurant promises unless a specific screen expressly identifies a separate delivery provider promise. Weather, traffic, gated premises access, incorrect address, diner unavailability, lift or security delays and restaurant preparation delays affect delivery and are not software defects. The restaurant must communicate proactively with the diner where a material delay or failure becomes known, and must handle redelivery, refund or replacement for a delivery issue under its own diner policy and consumer law.

6.8 Customer app and diner accounts

The customer or food application allows a diner to browse, order, track and review within the features provided. A diner account is personal to the diner. The diner must keep login codes secure, order only from their own account, and keep address and telephone details current. Order tracking is a status aid that reflects the last status recorded by the restaurant, rider or system; a tracking delay does not by itself prove that food was not prepared or delivered. Location shown on a map is approximate and depends on device permissions and map data.

Reviews and ratings by diners must be honest, based on a genuine order, and free of personal data, abuse and extortion. A restaurant must not offer an inducement for a positive review without disclosure, threaten a diner over a negative review, or post reviews for itself. BizSensei Digital may moderate reviews for abuse, personal data, irrelevance or suspected fraud, but moderation does not make BizSensei Digital the author of a review or the guarantor of a restaurant response. Restaurants should respond to diner feedback professionally through their own customer care.

6.9 OMS application programming interface and licence server

Where your plan includes application programming interface access, BizSensei Digital provides documented endpoints, authentication by token or key, and reasonable rate limits for your own restaurant systems and authorised integrators. API keys and tokens are confidential credentials of the account. You must store them securely, use encrypted connections, limit a key to the environment and integrator that needs it, rotate a key that may have leaked, and revoke access for a former integrator promptly. You are responsible for calls made with your key until revocation is completed after your notice.

API acceptable use requires that you stay within published or communicated rate limits, cache where appropriate, avoid polling patterns that burden the service, use pagination, respect error codes and retry guidance, and not attempt to enumerate other restaurants data, bypass location scoping, scrape the marketplace through the API, or use the API to send spam or build a competing copy of the hosted service. BizSensei Digital may throttle, suspend or version an API, require an upgrade to a new version after reasonable notice, and log API calls for security, billing, support and abuse investigation. Licence server endpoints that validate a plugin or OMS entitlement may be used only by genuine BizSensei products and authorised accounts; probing, forging or replaying a licence validation for an unlicensed use is prohibited.

6.10 Restaurant data, exports, backups and end of service

Data entered into OMS about your restaurant, menu, staff, orders, bills, customers and operations belongs to your business as between you and BizSensei Digital, subject to the processing licence in Part A and to records BizSensei Digital must keep for its own orders, licences, tax and consent compliance. You are responsible for the accuracy of data you enter, for correcting diner and staff data when asked by the person concerned where you are the responsible business, and for your own privacy notice to diners and staff covering your use of OMS.

OMS provides export features for key records as described in the portal and documentation, which may include orders, bills, customers, products and reports in a commonly used format. You should export regularly, and in particular before a plan ends, a location closes, an account holder changes or a dispute arises. BizSensei Digital backs up platform data for operational recovery and service continuity, with a retention pattern suited to a hosted platform. Platform backups are not your statutory archive. You must keep your own exports, invoices, tax records, FSSAI records, employment and contractor records and diner communication records for the periods your own laws require, in a place you control.

If OMS service ends for a location or account, whether by expiry, termination or restaurant closure, you will have the export opportunity described in the portal notice or, if no notice period applies because of immediate termination for serious breach, a reasonable opportunity to request an export of your core business records will be considered in good faith, subject to law, outstanding amounts, fraud investigation and the rights of diners and authorities. After the export window and any legal retention period, hosted operational data may be deleted, anonymised or archived in backups that age out in the ordinary cycle. Deletion from live systems does not require BizSensei Digital to delete its own invoice, consent, licence or order records for the software contract itself. You must tell your diners and staff how to contact you after closure, because BizSensei Digital will not act as your ongoing customer care desk after the account ends.

6.11 Payments between diners and restaurants

Diner payments for food may be recorded in OMS as cash, card, unified payments interface, wallet, platform settlement or another method the restaurant configures or records. Recording a payment method in OMS does not mean BizSensei Digital received the diner money. Where an integrated gateway is used for a diner payment, the gateway and the arrangement recorded for that integration govern settlement, holds, refunds to the diner instrument and chargebacks for the food order. The restaurant is responsible for reconciling its gateway, platform and cash settlements, for issuing diner refunds and invoices for food sales, and for tax on its food sales. OMS reports are operational aids for reconciliation; a report discrepancy should be investigated against the gateway and bill records, and does not by itself prove that BizSensei Digital holds restaurant funds.

The restaurant must not use OMS to record a payment it did not receive, split a bill dishonestly, suppress a sale from its own tax records, or process a payment for an unrelated business through its restaurant account. Bill splits, discounts, complimentary items and voids must follow the restaurant internal authorisation and must be recorded truthfully. Audit trails in OMS are provided to help the restaurant control its operation; deleting or pressuring staff to alter a record to conceal a transaction is a serious breach of these terms and of the restaurant own legal duties.

6.12 OMS support, training and operational readiness

Support for OMS covers the software: access, activation, plan and billing records, documented features, defect investigation and reasonable guidance on using portal and app functions. Support does not train every new staff member of a restaurant as an unlimited included service, set the restaurant prices, design its menu, manage its marketplace account, handle its diners, negotiate with its platforms or run its kitchen. Onboarding materials, help text and documentation should be used by the restaurant to train its team, and the restaurant should appoint an internal person who understands its own OMS setup, devices, printers, network and staff roles.

Devices, printers, routers, internet connections, local networks, browsers and operating systems at the restaurant are the restaurant responsibility. You must keep devices updated, charged, secured and compatible, test printers and kitchen display devices before service, and maintain a reasonable internet connection for a cloud service. Offline or degraded mode features, where a version provides them, are limited aids for a short disruption and must be synchronised as the documentation directs when connectivity returns. Data that exists only on a lost, reset or damaged local device and was never synchronised may not be recoverable, and plan caps and validation will still apply when a synchronisation is later attempted.

6.13 No guarantee of restaurant results

BizSensei Digital does not guarantee that OMS will increase a restaurant orders, revenue, repeat customers, marketplace ranking, platform sales, table turnover, review scores or profitability. OMS is an operations tool. Results depend on the restaurant food, price, location, staff, service, marketing, platform relationships and market conditions. Time saving, error reduction and reporting benefits depend on the restaurant configuring the software correctly, training staff, keeping data current and following its own processes. A demonstration using sample data does not promise the same result with live data.

Part G: qiaomed.space Qiaomed Doctor and Pharmacy Software

Applies to: qiaomed.space

7.1 Status of Qiaomed and pre launch terms

Qiaomed is healthcare related software for doctors, clinics and pharmacies, presented through qiaomed.space. At the date of this version, Qiaomed is in pre launch. Pre launch means the product is being prepared, demonstrated, evaluated and offered for waitlist registration, early interest, pilot discussion and feedback; it does not mean that every feature described in a roadmap, demonstration or conversation is available as a live, generally released service. No person should rely on Qiaomed as a live system of record for patient care until BizSensei Digital confirms general availability or a specific pilot agreement for that practice or pharmacy in writing.

Waitlist registration is an expression of interest. It does not create an entitlement to a pilot place, an account, a price, a launch date, a feature set or a service level. BizSensei Digital may invite waitlist members in any order that fits pilot capacity, specialty, geography, technical readiness and risk assessment, may ask for professional registration details before granting access, and may close or reset a waitlist. A launch estimate, roadmap item or demonstration screen shown during pre launch is indicative and may change. If you join a waitlist, you agree that BizSensei Digital may contact you about launch, pilot and product news at the details you supply, in accordance with the Privacy Policy, and you may withdraw from the waitlist by contacting us or using any withdrawal control provided.

7.2 Software only: Qiaomed is not a healthcare provider

Qiaomed is software only. BizSensei Digital is not a healthcare provider, hospital, clinic, pharmacy, telemedicine provider, diagnostic service, ambulance service or medical practitioner. Qiaomed does not diagnose, treat, prescribe, dispense, advise a patient on a specific condition, or hold itself out as able to do so. Screens, reminders, templates, record structures, summaries and workflow prompts in the software are organisational aids for qualified professionals and their authorised staff. They do not replace clinical judgment, a physical examination where one is needed, a verified patient history, or the professional standards that govern the practitioner and pharmacy concerned.

Qiaomed must never be used for emergencies. A patient with an emergency, severe symptoms, a suspected serious reaction or any urgent concern must be directed to emergency services, the nearest hospital or an available qualified practitioner through an appropriate urgent channel, not to a software queue, waitlist, message box or non urgent appointment flow. Practices and pharmacies using any demonstration or pilot must display and operate their own emergency and escalation guidance outside the software as well as inside it, and must not allow a software notice to delay an urgent human response.

7.3 Responsibility of the registered medical practitioner

Diagnosis, clinical assessment, treatment selection, prescriptions, referrals, investigations, follow up intervals and every other professional decision are the sole responsibility of the registered medical practitioner who provides the care. The practitioner must hold a valid registration with the applicable medical council or authority, practise only within the scope the law and that registration permit, verify patient identity and clinical information to the standard their profession requires, obtain informed consent where needed, maintain clinical records to the required professional standard, and comply with telemedicine, prescribing, advertising, confidentiality and record retention rules that apply to their practice, including the Telemedicine Practice Guidelines and the Indian Medical Council professional conduct framework as applicable and as amended.

A prescription generated, formatted, stored or transmitted with the help of software remains the prescription of the signing practitioner. The practitioner must review every field before signing or issuing, must not use a pre filled, suggested or copied entry without clinical verification, must not allow staff to issue a prescription in the practitioner name without the practitioner actual professional act where the law requires one, and must correct the record promptly through the proper amendment process if an error is discovered. Software validation, spelling suggestions, dosage fields, interaction warnings where a version provides them, and template defaults are aids only. Absence of a warning is not a statement that a medicine is safe for a particular patient, and presence of a warning does not transfer the prescribing decision to the software.

The practitioner and practice are responsible for their own end patient communications, appointment promises, fee disclosures, consent forms, medical advice given by telephone or message, and instructions given outside the software. If a patient misunderstands an instruction, misses a follow up, takes a medicine incorrectly or experiences harm, the clinical and communication record of the practice is the primary record, and BizSensei Digital role is limited to the software functions it actually supplied. Practitioners must carry any professional indemnity or insurance their practice requires; using Qiaomed does not create cover.

7.4 Responsibility of pharmacies

A pharmacy that uses Qiaomed or a related module does so under its own drug licence and through its own registered pharmacist and authorised staff. The pharmacy alone is responsible for verifying that a prescription is valid and legible, that the prescriber is entitled to prescribe, that the medicine, strength, quantity and directions dispensed match the prescription and applicable law, that a required prescription is on file before a prescription only medicine is supplied, that storage, expiry, batch, recall and cold chain duties are met, that counselling duties are performed, and that records required under drugs and pharmacy law are kept. Software that records a batch, expiry or prescription reference is a record aid; it does not dispense the medicine and does not certify that the physical stock is correct.

A pharmacy must not use the software to supply a medicine that it is not licensed to stock or supply, to substitute a product contrary to law or prescriber instruction, to sell beyond an expiry date, to split or repackage in a way its licence does not permit, or to advertise or promote a prescription medicine to the public in a way the law prohibits. If a prescription appears altered, unclear, out of scope or unsafe, the pharmacist must apply professional judgment, contact the prescriber through a proper channel where needed, and refuse or defer supply where the law or patient safety requires it. That decision belongs to the pharmacy, not to the software.

7.5 Patient data, confidentiality and careful handling

Patient and prescription data are sensitive in nature and must be handled with care. A practice or pharmacy that enters, uploads or manages patient data through Qiaomed, whether in a pilot, demonstration with synthetic data, or a future live service, is primarily responsible for having a lawful basis to collect and share that data, for giving patients the privacy notices and choices their relationship requires, for limiting data to what the care or dispensing purpose needs, for ensuring accuracy, and for responding to patient requests and complaints about their health records. BizSensei Digital processes hosted patient related data only to provide, secure and support the software for the practice or pharmacy, and in accordance with the Privacy Policy, any pilot agreement and applicable Indian data protection law.

During pre launch and in any demonstration, you must use synthetic, anonymised or test data unless a written pilot agreement expressly authorises live patient data and states the safeguards, purposes, users, retention and support arrangements for that pilot. You must not enter a real patient name, prescription image, diagnosis, report or contact detail into a public demonstration, waitlist form, feedback form or support message. Support for a future live service will provide a method for raising an issue without sending unnecessary patient data; you must use that method and redact attachments to the minimum needed.

Access to patient data must be limited to authorised staff with a care, dispensing or administrative need. Each user must have their own credentials. Shared logins, leaving a session open on a shared screen, downloading patient lists to a personal device without authority, photographing a screen to send through a personal messaging account, and discussing identifiable patient details in a public channel are prohibited practices for any Qiaomed user. The practice or pharmacy must train its staff, audit access, remove leavers promptly and notify BizSensei Digital and, where required, patients and authorities without undue delay if it becomes aware of a breach involving data held in the software.

7.6 Appointments, reminders and communications in Qiaomed

Appointment, queue, reminder and follow up features, where provided in a pilot or future release, are scheduling and communication aids. The practice is responsible for its diary, consultation hours, fees, cancellation rules, punctuality and the clinical suitability of a remote or in person slot. An automated reminder is not a promise that the practitioner will be available if an emergency, overrun or closure intervenes, and the practice must have a human process to contact affected patients. A patient must not treat a reminder, educational message or software summary as medical advice for their own condition.

Messages sent through or recorded in the software must be professional, accurate and limited to the care or service purpose. Bulk promotional messaging to patients, sale of patient contact details, use of a patient list collected for care to market an unrelated product, and messaging that pressures a patient to buy a medicine or service are prohibited. Where a message depends on a third party messaging, email or telecom provider, delivery may be delayed or fail for reasons outside BizSensei control, and urgent clinical communications must never depend solely on such a channel.

7.7 Pilot and beta terms for Qiaomed

A pilot, beta or early access deployment of Qiaomed is supplied for structured evaluation under the pilot invitation or agreement for that deployment. Pilot features may be incomplete, may be withdrawn, may have limited support hours, may store data only for the pilot period, and may not meet the retention, integration or reporting standard of a future general release. Pilot participants must give feedback honestly, report a suspected safety relevant defect immediately through the pilot channel, stop using a feature if instructed because of a safety or legal concern, and not expand the pilot to additional patients, sites or staff beyond the agreed scope without written approval.

No pilot participant may represent to a patient that Qiaomed is certified, approved or endorsed by a medical regulator, council, hospital or government body unless BizSensei Digital has confirmed that exact statement in writing and the statement remains current. Regulatory status, where it exists for a specific module, will be stated precisely in product documentation. Software for record keeping and workflow does not become a medical device, diagnostic tool or clinical decision system merely because a practice uses it in a clinical setting, and a participant must not use a pilot module for a regulated diagnostic or treatment purpose that the module documentation does not expressly cover.

7.8 Qiaomed accounts, eligibility and prohibited uses

Qiaomed accounts, when offered, are for verified practices, registered medical practitioners, licensed pharmacies and their authorised staff. BizSensei Digital may verify registration, licence and identity details before or during access, may require renewal evidence, and may suspend access where a registration or licence appears to have lapsed, where the account holder cannot be verified, or where use suggests unlicensed practice or dispensing. A patient facing account or view, if a future release provides one, is for the patient own records and appointments and must not be used to obtain a prescription, diagnosis or medicine without a genuine professional consultation and lawful dispensing process.

In addition to the general prohibited uses in Part A, Qiaomed users must not practise beyond their registration, issue a backdated or false record, alter a prescription or dispensing record to conceal an error rather than recording a proper correction, access the record of a patient with whom they have no care or dispensing relationship or other lawful basis, use patient data for research, publication or model training without a separate lawful basis and any ethics or consent requirement that applies, or attempt to extract bulk patient data through an export, interface or support request for a purpose outside the account scope. Suspected misuse involving patient safety or professional registration may be reported to the practice responsible person, the pharmacy licence holder or an appropriate authority where the law requires or permits it.

7.9 Data export, retention and end of a Qiaomed pilot or service

Clinical and dispensing records have retention duties that belong to the practitioner and pharmacy under the laws and professional standards that govern them. Qiaomed export and retention for any live or pilot deployment will be stated in the deployment agreement and product documentation, including the format, scope and period for retrieving records at the end. The practice or pharmacy must export and archive its records into its own compliant record system before a pilot or service ends, must verify that the export is complete and readable, and must not treat BizSensei Digital as its sole long term medical record archive unless a written live service agreement expressly makes Qiaomed the system of record for a stated period with stated safeguards.

At the end of a pilot, data handling follows the pilot agreement: return or export to the participant, deletion, anonymisation or limited retention for legal and safety records, as that agreement states. Patient requests about a clinical record should be directed to the practice or pharmacy that provided the care or dispensing, because that business holds the professional relationship and must decide the clinical record question. BizSensei Digital will cooperate with a verified instruction from the responsible practice or pharmacy and with a lawful order, subject to identity and authority checks that protect patient confidentiality.

Closing provisions

Applies to: Every property in this document

8.1 Order of precedence

Where more than one document applies to the same matter, the following order of precedence applies unless a signed written agreement expressly states a different order for that engagement. First, a signed written proposal or agreement for the specific engagement prevails on the scope, deliverables, fees and special terms it expressly covers. Second, the checkout terms, order confirmation and product specific terms for the specific order prevail on the item, licence scope, location count, plan limits and period purchased. Third, these Terms and Conditions prevail on general, property specific and legal matters not expressly covered by the documents above. Fourth, the Privacy Policy governs personal data handling, the Refund Policy governs refunds and the Shipping and Delivery Policy governs delivery, each within its subject matter. A marketing page, blog article, social post, presentation or oral statement does not prevail over any of the documents in this list.

If a document higher in the order and a document lower in the order cannot both be applied, the higher document applies to the extent of the conflict, and the lower document continues to apply to all other matters. A special term in a proposal is special only for that engagement; it does not amend these Terms and Conditions for other customers, other properties or later orders unless the special term expressly says that it is a general amendment and is signed for BizSensei Digital as such.

8.2 Amendments to these terms

BizSensei Digital may amend these Terms and Conditions to reflect a change in law, a new property or feature, a security requirement, a payment or platform requirement, or a correction. The current version will be published on the legal website with a version identifier and a last updated date. Material changes that affect an existing paid term will be notified by email, dashboard notice or another reasonable method before they take effect for that paid term where reasonably practicable, except for a change required urgently by law, security or a binding direction, which may take effect immediately with notice given as soon as practicable afterwards. Continued use of a free property after a published change takes effect constitutes acceptance of the change for that free use. A change does not retrospectively increase the price of an order already confirmed or remove a deliverable already supplied and paid for.

Consent and order records preserve the version accepted for a transaction. If you do not agree to an amended term that applies to a future renewal, you may decline the renewal or close the account in accordance with the applicable product terms. Keeping a copy of the version that applied to your order is good practice; BizSensei Digital will identify the version and acceptance record for a specific order if you write with the order reference and a genuine need to resolve a dispute or verify a term.

8.3 Notices

Notices to BizSensei Digital under these terms must be sent by email to info@bizsensei.co.in with a clear subject line identifying the property, account and order or engagement concerned. A telephone call to +91 93726 65745 may be used for an urgent operational alert, but a legal notice, termination notice, refund claim, rights claim or dispute notice is effective for record purposes only when it is also sent in writing by email or another written method that produces a record. No physical address is published for notices because the business is location independent; service of a court or commission process at an address directed by that court or commission or required by law is not affected by this clause.

Notices from BizSensei Digital to you may be sent to the account email, billing email or proposal contact, displayed in a dashboard or account notice area, or published on the legal website for a general change. A notice sent by email is treated as received when it enters the recipient mail system without a delivery failure notice, except that a termination or price change notice for a paid service will also be placed in the account area where that facility exists. You must keep contact details current and check the account email regularly. BizSensei Digital is not responsible for a notice missed because an old mailbox was not monitored or a spam filter diverted a genuine message that was correctly addressed.

8.4 Severability

If any clause or part of a clause in these Terms and Conditions is held by a court, consumer commission or other competent authority to be invalid, unlawful or unenforceable, that clause or part is severed or read down only to the minimum extent needed to make it lawful, and the remaining clauses continue in full force. The parties intention is that the lawful core of each protection, including every saver for consumer rights, fraud, wilful misconduct and negligence causing death or personal injury, survives even if a wider reading of an exclusion or cap does not. A severed clause does not create a new obligation that neither party accepted, except for a substitute that the deciding authority itself imposes by law.

8.5 Waiver and no reliance on informal statements

A failure or delay by either party to enforce a right or clause is not a waiver of that right or clause, and does not prevent a later enforcement for the same or a later breach. A waiver is effective only if it is in writing, identifies the right or breach waived, and is given by the party waiving it. No course of dealing, informal support concession, one off extension, goodwill gesture or acceptance of a late payment creates a permanent variation. You confirm that in entering a contract under these terms you have not relied on a statement that is not recorded in the applicable proposal, checkout, order confirmation or these terms, except for a statement that cannot lawfully be excluded from reliance, including a fraudulent statement.

8.6 Assignment and change of control

You may not assign, transfer, novate or subcontract your rights or obligations under an account, licence or engagement, in whole or in part, without the prior written consent of BizSensei Digital, except for a genuine business successor transfer handled under the applicable product transfer process. An attempted assignment without required consent does not bind BizSensei Digital. BizSensei Digital may assign or transfer its rights and obligations, or use a successor operator, in connection with a reorganisation, sale of the business or transfer of a product line, provided that the transfer does not materially reduce your accrued rights for a paid term already purchased and that you are notified of the successor contact for future service. Nothing in this clause prevents BizSensei Digital from using subcontractors and processors in the ordinary operation of the ecosystem as described in these terms.

8.7 Entire agreement

These Terms and Conditions, together with the documents identified in the order of precedence clause for the relevant property, order or engagement, constitute the entire agreement between you and BizSensei Digital for that subject matter and replace prior discussions, drafts and understandings on the same subject, except for a signed agreement that expressly survives. Each party acknowledges that the written record is the reliable record. If you have a special requirement about scope, service level, data location, security standard, liability, insurance, intellectual property ownership or termination, it binds BizSensei Digital only if it is recorded in a signed proposal or agreement for your engagement. Standard purchase order terms, supplier portal terms or email footer terms sent by a customer do not apply unless BizSensei Digital expressly accepts them in a signed document.

8.8 Language

These Terms and Conditions and the related policies are written in English. The English version controls. A translation, summary, help text, chat response or machine generated version in another language is provided for convenience only and does not change the legal meaning of the English text. Support may be given in another language where an agent is able to do so, but a support conversation does not amend the English terms. Defined terms keep their defined English meanings in any translation.

8.9 Governing law and jurisdiction with consumer saver

These Terms and Conditions and any non contractual obligation arising from them are governed by the laws of India. Subject to the saver in the next paragraph, the courts of Maharashtra have jurisdiction over a dispute arising from these terms, and the parties submit to that jurisdiction for a claim that is properly brought there. The parties will first attempt to resolve a dispute in good faith through the support and notice process, with each side setting out its position in writing, before starting formal proceedings, except where urgent interim relief, a limitation deadline, a payment issuer process or a regulatory complaint makes an immediate filing necessary.

Consumer saver. Nothing in this document, including any jurisdiction, liability, exclusion, indemnity, arbitration style or forum wording in any harvested or earlier text that these terms replace, ousts, limits or discourages the jurisdiction of a consumer commission under the Consumer Protection Act, 2019, the rights of a consumer to file where that Act permits, the jurisdiction of any other court, tribunal or regulator that has jurisdiction by law, or any mandatory protection that cannot be excluded by contract. If you are a consumer, you may pursue a remedy in the forum the law gives you, and a clause in these terms must be read so that it does not prevent you from doing so. No clause requires a consumer to arbitrate, to travel to a forum that the law does not permit for their claim, or to give up a statutory right as a condition of using a free property.

8.10 Contact and document information

Questions about these Terms and Conditions, a request for the version that applied to an order, a rights notice, a billing concern or a request to exercise a right that these terms describe should be sent to BizSensei Digital by email at info@bizsensei.co.in or raised by telephone at +91 93726 65745 during contact hours published on the relevant property. Related documents are the Privacy Policy, the Refund Policy, the Shipping and Delivery Policy and the Cookie Policy, each published on this legal website. Please quote the property, account email and order or engagement reference in every message so that the correct record can be found without asking you to send sensitive information.

The map in Schedule 1 is descriptive. A feature that is technically delivered from a subdomain, application store listing, embedded frame or partner domain does not escape the part that governs its function merely because the address bar shows a different host during part of the flow. The functional part governs: a checkout is governed by the store commerce rules wherever the checkout frame is hosted, a marketplace order is governed by the OMS marketplace rules wherever the menu was viewed, and a Qiaomed pilot is governed by the Qiaomed rules wherever the pilot invitation was sent from.

8.12 Schedule 2: Support scope summary

Schedule 2 summarises the support boundaries that are stated in detail in the relevant parts. A support agent goodwill attempt to point you toward a likely cause outside the included scope is assistance, not an assumption of responsibility for the outside system, and it does not convert excluded work into included work for later requests.

8.13 Schedule 3: Data responsibility summary

Schedule 3 is an allocation summary and must be read with the Privacy Policy and with the detailed clauses in Parts A, D, F and G. Where a row of the schedule and a detailed clause differ in wording, the detailed clause and the Privacy Policy govern the handling of the personal data concerned, because a summary table cannot capture every purpose, retention period and right that the detailed documents describe.
